The RTL Group announced today that a binding agreement was signed for the full acquisition of Sky Germany. We summarize.

With the merger of RTL and Sky Germany, including the VoD service WoW, a leading Europe-wide platform for entertainment, news and sports with a total of around 11.5 million paying subscribers is to be created.
The purchase price is made up of a cash payment of 150 million euros (without cash and debts) and a potential earn-out component. This depends on the future share price development of the RTL Group and is capped to a maximum of 377 million euros, the RTL share price should increase to 70 euros.
RTL CEO Stephan Schmitter described the takeover as “Unique opportunity”to combine two strong media brands to a “Unique offer” to accomplish. RTL stands for shows, independent journalism and reality formats, while Sky is particularly convincing with exclusive sports rights such as Bundesliga and Formula 1.
Barny Mills, CEO of Sky Germany, spoke of one “Exciting new section” And emphasized the strength of Sky through high-quality sports and entertainment content as well as technological innovative strength.
The transaction must still be approved by the German competition and media authorities. The conclusion is expected for 2026. Until then, both companies continue to argue independently. The agreement also includes the trademark rights of “Sky” in the roof region and the streaming brand “Wow”.
